Terms of Service
Tradivo helps trade contractors quote work, run jobs, and get paid. These terms are the agreement between you and Tradivo for using the app and the pages we host for your customers. We have written them to be read, not skimmed past. If anything is unclear, ask us at hello@tradivo.app.
1. Who we are
"Tradivo," "we," and "us" mean Tradivo, the operator of the tradivo.app website and the Tradivo application (together, the "Service"). "You" means the person accepting these terms and, where you use Tradivo for a business, that business (your "Company").
2. Your agreement
By creating an account, checking the agreement box during sign-up, or using the Service, you agree to these terms and to our Privacy Policy. If you are setting up Tradivo for a Company, you confirm that you are authorized to bind that Company to these terms, and every member you invite is bound by them too.
You must be at least 18 years old and use Tradivo for business purposes. Tradivo is not offered to consumers for personal use.
3. Early access
Tradivo is in early access. Access is by approval, features may change or be removed while we learn from real jobs, and we do not promise any particular level of availability during this period. We will tell you about material changes through the app or by email. Please keep your own records of anything important; early-access software is not a system of record for your business.
4. Your account
You are responsible for the accuracy of the information on your account and Company, for keeping your login credentials secure, and for everything done under your account. Tell us right away at hello@tradivo.app if you believe your account has been used without your permission.
Signing in with Google is subject to Google's own terms. We receive your name and email address from Google and nothing more.
5. What Tradivo does
Tradivo lets you measure and price scope items, build estimates and bids, turn approved work into jobs and invoices, record payments, track inventory, and send documents to your customers through pages we host. It also offers supplier pricing lookups and AI-assisted drafting, described below. Tradivo is a tool. Every estimate, price, invoice, and message you send is yours: you decide what it says, you review it before it goes out, and you stand behind it with your customer.
6. Your content and your customers' information
Everything you enter or upload, including customer names and addresses, job details, pricing templates, notes, and documents, is your content. You own it. You give us a license to store, process, display, and transmit it only as needed to run the Service for you, including sending documents to the customers you name, and to keep backups.
You are responsible for having the right to enter your customers' information into Tradivo and for using it lawfully. Where privacy law treats us as processing that information on your behalf, we act on your instructions and the terms of our Privacy Policy. If a customer asks you to correct or delete their information, you can do that in the app.
7. Documents and emails sent to your customers
When you send an estimate, bid, invoice, change order, statement, or receipt, Tradivo emails your customer on your behalf, in your Company's name, with a private link to a page we host. That link is the credential for the page: anyone who has it can open it. Share it only with the person it is for.
Your customers' responses on those pages, such as approving an estimate or requesting changes, are recorded with the time and the link used, and shown to you in the app. An approval recorded this way is your customer's response to the document you sent; whether it forms a binding contract between you and your customer depends on your own agreement with them and the law that applies to your work. Tradivo is not a party to that contract.
You are responsible for the content of every document and message, including that your prices, terms, license and insurance details, and any legally required notices are accurate and complete for your trade and location.
8. Payments
Card payments on invoice pages are processed by Stripe. By enabling card payments you agree to the Stripe Services Agreement and, where applicable, Stripe's Connected Account Agreement. Tradivo is not a bank, a payment processor, or a money transmitter, and does not hold your funds. Payouts, timing, and card-network rules are governed by Stripe.
Payments recorded by hand in the app (cash, check, transfer) are your records; Tradivo does not verify them. Refunds, disputes, and chargebacks are matters between you, your customer, and Stripe. Sales tax and any other tax on your work is your responsibility to calculate, collect, and remit; the tax rate in your pricing template is a setting you control.
If we charge a platform fee on card payments, we will disclose the amount before you enable them, and it will appear in your Stripe records.
9. Supplier pricing
Tradivo shows product names and prices gathered from retailers' public websites so you can price materials quickly. These are informational and may be out of date, regional, or wrong. They are not offers to sell, and Tradivo is not affiliated with any retailer shown. Confirm price and availability with the supplier before you commit to a customer. The retailers' trademarks belong to them.
10. AI drafting
Tradivo can turn a description of a job into a draft: scope items, material lines, labor lines, and questions to ask. Drafts are generated by an artificial-intelligence model and are suggestions only. They can be incomplete or wrong, they never invent a price, and nothing in a draft is saved to your job until you review it and choose to create it. You are responsible for every figure you send to a customer, whether you typed it or accepted it from a draft.
To produce a draft, the description you type and your pricing settings are sent to our model provider (currently Anthropic) and processed under their terms. Do not include information in a description that you are not permitted to share. AI drafting is metered: each Company has a monthly allowance shown in the app, and we may change allowances, limits, or pricing for AI features with notice.
11. Fees
During early access, Tradivo is free to use unless we tell you otherwise. When we introduce paid plans, we will tell you in advance, show the price before anything is charged, and give you the chance to decline. We will never charge your card for a subscription without your agreement. Fees are non-refundable except where the law requires otherwise or these terms say so.
12. Acceptable use
Do not use Tradivo to break the law, to send unsolicited or deceptive messages, to enter information about people you have no business relationship with, to probe or disrupt the Service, to scrape or resell our supplier pricing data, to build a competing product from our content, or to bypass allowances and limits. We may suspend accounts that put other users, your customers, or the Service at risk, and we will tell you why unless the law prevents it.
13. Intellectual property
Tradivo, its software, design, templates, and content (other than your content) belong to us and our licensors. You get a limited, non-exclusive, non-transferable right to use the Service for your business under these terms. Feedback you give us may be used without obligation to you. Your Company's name, logo, and license details appear on your documents because you put them there; we claim no rights in them.
14. Privacy
Our Privacy Policy explains what we collect, how we use it, who we share it with, and the choices you have. It is part of these terms.
15. Ending your account
You can stop using Tradivo at any time and delete your account from the app. Deleting your account permanently removes your login, and if you are the last member of your Company, the Company and all of its customers, jobs, documents, and records. That cannot be undone, so export anything you need first; ask us if you need help doing so.
We may suspend or end your access if you materially breach these terms, if we are required to by law, or if we discontinue the Service, in which case we will give reasonable notice and a way to get your data out where we can. Sections that by their nature should survive (your content license for backups, payments, disclaimers, liability, indemnity, governing law) survive termination.
16. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that pricing data is accurate, that AI drafts are correct or complete, that documents will be delivered or opened, that payments will settle on any schedule, or that the Service will be uninterrupted or error-free. Tradivo does not give legal, tax, accounting, or contracting advice.
17. Limitation of liability
To the fullest extent permitted by law, Tradivo and its people will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to the Service, even if we were told it was possible. Our total liability for all claims arising from or related to the Service in any twelve-month period will not exceed the greater of the fees you paid us in that period or one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
18. Indemnity
You will defend and indemnify Tradivo against claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your documents and messages to customers, your work for customers, your use of payments, or your breach of these terms or the law.
19. Changes to these terms
We may update these terms as the Service grows. Each version is dated at the top of this page. For material changes we will give notice in the app or by email before they take effect, and we may ask you to agree again. Continuing to use Tradivo after a change takes effect means you accept the new terms. If you do not, stop using the Service and delete your account.
20. Governing law and disputes
These terms are governed by the laws of the State of Oregon and the United States, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at hello@tradivo.app and give us thirty days to try to resolve it with you informally. Any claim that is not resolved will be brought in the state or federal courts located in Oregon, and you and we consent to their jurisdiction. Nothing in this section stops either of us from seeking an injunction to protect intellectual property or confidential information.
